Reporting to the Chief Executive Officer, this role is critical in ensuring our governance processes are robust, compliant and well-supported, enabling effective decision-making across the organisation.

Role & Responsibilities:
As Governance Manager, you will be responsible for the day-to-day coordination of governance processes, statutory and regulatory obligations and governance records. You will ensure meetings are properly convened, decisions are accurately recorded, and governance documentation meets organisational and regulatory requirements.
Key responsibilities include:
· Managing governance operations supporting the Bishop, Diocesan Council and Newcastle Anglican Corporation Board
· Coordinating agendas, papers, minutes, resolutions and action tracking
· Providing high-quality secretariat support to boards, councils and committees
· Maintaining governance calendars, forward plans and meeting schedules
· Supporting compliance with statutory and regulatory obligations (including ASIC and ACNC)
· Maintaining corporate registers, records and statutory filings
· Supporting the administration and review of governance frameworks, policies, charters and delegations
· Liaising with legal advisors, auditors and regulators on governance process matters as required
About you?
You are highly organised, detail-oriented and confident working in complex governance environments. You bring strong written communication and minute-taking skills, sound judgement, and the ability to manage sensitive information with discretion and professionalism.
You will have:
· Tertiary qualifications in governance, business, law or a related discipline (or equivalent experience)
· Demonstrated experience in corporate governance administration and secretariat functions
· Strong business acumen and strategic thinking
· Excellent documentation, minute-taking and written communication skills
· High attention to detail and strong organisational discipline
· Experience in not-for-profit and/or faith-based organisations (desirable)
· Familiarity with church or charitable governance structures (desirable)
· Governance Institute or AICD studies (desirable)
· Current driver’s licence
· Working with Children Check (clearance to work with children)
· National Police Check (relevance of outcomes considered)
